Contracts are promises that the law will
enforce. The law recognizes the performance
of a promise as a duty, and provides remedies
if a promise is broken.
Contracts are mainly governed by state
law, common (judge-made) law and private
law. Private law principally includes the
terms of the agreement between the parties
who are exchanging promises. This private
law may override many of the rules otherwise
established by state law. Statutory law
often requires certain contracts be put
in writing and executed with particular
formalities.
It is critical that all contracts be thoroughly
reviewed and fully understood, before you
enter into an agreement. Regardless of what
may have been said or implied verbally in
advance of a contract being drawn up, what
is written in the contract is what the law
will enforce. The value of having an attorney

sure you fully understand what you are getting
into when you sign the contract. They can

the provisions in the contract you are about
to sign to what are considered “best

you how the courts have interpreted similar
